TERMS AND CONDITIONS
1. Introduction
These Terms and Conditions govern all quotations, enquiries, sample requests, orders, sales contracts and transactions for goods between you (the Buyer) and our Company. By submitting an enquiry, placing an order or accepting our quotation, you acknowledge that you have read, understood and agreed to be bound by these Terms and Conditions. These Terms shall be governed by the laws of the Hong Kong Special Administrative Region.
2. Quotation and Orders
- All quotations are valid for [30] calendar days from the date of issue unless otherwise stated in writing. Quotations are non-binding until we issue a written order confirmation.
- Prices quoted do not cover international freight, insurance, import duties, taxes or customs clearance fees in the destination country, unless expressly specified in writing.
- We reserve the right to correct typographical errors, pricing mistakes and product specification errors on our website or quotations.
- An order shall only become binding upon our written confirmation and receipt of the required deposit or full payment. Oral agreements shall not be enforceable.
3. Product Specifications and Samples
- Product descriptions, photos, dimensions and specifications shown on the website are for reference only. Minor aesthetic differences between mass-produced goods and samples shall not constitute a product defect.
- Samples are provided for reference only. Mass production will follow the confirmed sample signed by both parties.
- We reserve the right to make minor technical adjustments to products, provided such adjustments do not materially affect the function of the goods.
4. Payment
Payment shall follow our separate Payment Policy. The Buyer shall bear all bank charges, correspondent bank deductions and cross-border handling fees. If payment is overdue, we reserve the right to suspend production, delay shipment or cancel the order and forfeit the deposit.
5. Delivery and Shipment
- The delivery date provided is an estimated date only. Delivery time may be delayed due to force majeure, logistics disruption, raw material shortage or Buyer’s late payment. We shall notify the Buyer promptly of any foreseeable delay.
- Risk of loss or damage to goods passes to the Buyer upon handover of goods to the carrier in accordance with the agreed Incoterms.
- The Buyer is responsible for import customs clearance, import duties and local inspection requirements at the destination country.
6. Inspection, Complaints and Returns
- The Buyer must inspect goods within [7] working days after receipt. Any quality, quantity or packaging complaint must be submitted in writing together with photos or video evidence within this period.
- No return or rejection will be accepted for minor defects that do not affect product functionality, normal wear and tear, damage caused by improper installation, misuse or transportation after delivery.
- Any return must be approved in writing by us before shipment back. Return shipping cost shall be borne by the Buyer unless the defect is attributable to our production fault.
7. Force Majeure
Neither party shall be liable for failure or delay in performing obligations caused by events beyond reasonable control, including but not limited to natural disasters, war, pandemic, government restrictions, port congestion, shortage of raw materials and labour strikes. The affected party shall notify the other party as soon as practicable.
8. Intellectual Property Rights
All trademarks, logos, product drawings, photos, designs and technical documents displayed on our website remain the intellectual property of our Company. The Buyer shall not copy, reproduce, resell or use such materials without our prior written consent. The Buyer warrants that any trademark or artwork provided by the Buyer for customised products does not infringe any third-party intellectual property rights.
9. Limitation of Liability
Our total aggregate liability arising out of any transaction shall not exceed the total contract value of the relevant order. Under no circumstances shall we be liable for indirect, consequential, special or lost profit damages. Nothing in this clause excludes liability for fraud, death or personal injury caused by negligence.
10. Confidentiality
Both parties shall keep all pricing, technical data, drawings and business information obtained during the transaction confidential and shall not disclose such information to any third party without prior written consent. This confidentiality clause survives the termination of the contract.
11. Termination
We reserve the right to suspend or cancel any order if the Buyer breaches these Terms, including without limitation late payment, refusal to accept goods or material breach of obligations.
12. Dispute Resolution
Any dispute arising from or in connection with the transaction shall first be resolved through friendly negotiation. If negotiation fails, disputes shall be finally settled in the courts of Hong Kong Special Administrative Region.
13. Amendment
We may revise these Terms and Conditions from time to time. The updated version will be published on our website and shall apply to all new orders after publication.
14. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
